Affirm Order Form

1. Merchant Legal Name: The person or other business organization that agrees to the terms of this Order Form (“Merchant”).
2. Affirm Party Name: The applicable Affirm entity (“Affirm”) is determined by where the Services are provided to Customers, as follows:
United States: Affirm, Inc. (“Affirm U.S.”)
Canada: Affirm Canada Holdings, Ltd. (“Affirm Canada”)
U.K.: Affirm U.K. Limited (“Affirm U.K.”)
Australia: Affirm Australia Pty Ltd (“Affirm Australia”)
3. Effective Date: The “Effective Date” means, with respect to each Territory, the date Merchant makes the Services available to Customers in that Territory on the Merchant Site or in the Location, as applicable.
4. Term: This order form (“Order Form will remain in effect until this Agreement is terminated in accordance with its terms (“Term”).
5. Territory: “Territory” means each country listed in Section 2 (Affirm Party Name), in whole or in part, as authorized by Affirm in its sole discretion.
6. Fees. The Fees set forth in merchant portal hosted by Shopify Inc. (or its Affiliates) (collectively, “Shopify”) are incorporated into this Order Form. The Transaction Fee is $0.30. For each International Transaction, Merchant will also pay an international fee equal to a percentage of the gross amount of the International Transaction (the “International Fee”), in addition to the MDR and Transaction Fee. The International Fee constitutes a Fee under this Agreement. Fees are not refundable.
7. Supplemental Terms. Notwithstanding anything to the contrary in the Agreement, the following terms apply:
(a) Marketing Materials. If Merchant markets the Services, Merchant must do so in accordance with Applicable Law and any applicable guidelines provided by Affirm or Shopify, including Affirm’s marketing guidelines located at: https://help.shopify.com/en/manual/payments/shop-pay-installments.
(b) Termination. Either Party may terminate this Agreement without cause at any time by providing notice to the other Party or Shopify.
(c) Amendments. Affirm may amend the Agreement from time to time. Merchant is advised to periodically review the Agreement for updates.
(d) International Transactions. An "International Transaction" is a Successful Transaction in which the Customer and Merchant are located in different Territories. For each International Transaction, references to "Territory" mean the Territory in which the Customer is located, except that the Territory in which Merchant is located governs provisions related to Fees, the Bank Account, currency, arbitration and governing law.
This Order Form is entered into as of the Effective Date. It is governed by and incorporates by reference the Merchant Agreement available at https://www.affirm.com/terms/merchant-agreement (the “Merchant Agreement” and together with this Order Form and any attachments herein the “Agreement”). Capitalized terms not defined in this Order Form have the meanings given in the Merchant Agreement.
